Agreement to these terms

These Terms & Conditions govern your use of priyan.ai (the "Website"), operated by PRIYAN ("PRIYAN", "we", "us", "our"), and set out the general terms on which we provide our services.

By using the Website you accept these terms. If you do not accept them, please do not use the Website.

Where we agree to carry out work for you, a separate written proposal, quotation or statement of work will set out the specific scope, deliverables, timelines and fees. In the event of a conflict, that written agreement takes precedence over these terms.

Use of this website

You agree to use the Website lawfully and not to:

attempt to gain unauthorised access to the Website, its server or any connected system;
interfere with or disrupt the Website's operation or security features;
submit false, misleading or another person's information through our forms;
use automated systems to scrape, harvest or submit data;
use the Website to transmit unlawful, abusive or malicious content.

We may suspend or restrict access to anyone who breaches these terms.

Our services

PRIYAN provides digital growth services which may include website design and development, performance marketing, social media management, WhatsApp marketing, Google Business Profile setup and optimisation, and AI and automation consulting.

The Website describes our services in general terms. Descriptions are not offers capable of acceptance, and availability of any service may change. Where a service is described as planned or on our roadmap, it is not currently offered.

The Free AI Digital Growth Audit

The Growth Audit is provided free of charge and without obligation on either side. By requesting it you agree that:

it is a professional opinion based on information you supply and information publicly available at the time;
it is provided for general guidance and does not guarantee any particular outcome, ranking, traffic level or business result;
we may decline to provide it, or may withdraw it, at our discretion;
you are responsible for decisions you take based on it.

Any scores shown on this Website as samples or illustrations are examples of the audit format only. They are not the results of any real business.

Quotations, fees and payment

Any starting prices shown on the Website are indicative and are not binding quotations.
Fees for a specific engagement are set out in a written proposal and are agreed before work begins.
Advertising spend on third-party platforms is separate from our fees and is normally paid by you directly to the platform.
Payment terms, milestones and any applicable taxes are stated in the written proposal.
We may suspend work on overdue accounts after giving you reasonable notice.

Your responsibilities as a client

To let us do our work, you agree to:

provide accurate, complete information and materials in a timely manner;
hold the necessary rights and permissions for any content, images, logos or data you give us;
provide the access we need to your accounts, platforms and profiles;
review and approve deliverables within agreed timeframes;
ensure that content you supply, and claims you ask us to publish, are accurate and comply with applicable law and platform policies.

Delays caused by outstanding information, access or approvals may affect agreed timelines.

Third-party platforms

Our services often depend on platforms operated by others, including Meta (Facebook and Instagram), Google, WhatsApp and hosting providers. We do not control those platforms.

We are not responsible for changes to their policies, pricing, algorithms, features or availability, for account restrictions or suspensions imposed by them, or for outcomes affected by such changes. You are responsible for complying with the terms of any platform you use.

No guarantee of results

Digital marketing results depend on many factors outside our control, including market conditions, competition, platform behaviour, your pricing and your responsiveness to enquiries.

We do not guarantee any specific search ranking, traffic volume, number of leads, conversion rate, revenue or return on investment. Where we describe expected activity, it is a description of the work we will carry out, not a promise of a commercial outcome.

Intellectual property

Our Website

The content, design, code, graphics and branding of this Website are owned by PRIYAN or its licensors and are protected by applicable intellectual property law. You may view and print pages for your own reference. You may not reproduce, republish or exploit them commercially without our written permission.

Client work

Unless a written agreement says otherwise, on full payment of all fees due you own the final deliverables we create specifically for you. We retain ownership of our pre-existing tools, frameworks, templates and know-how, and of any general methods developed in the course of the work.

Portfolio

We may reference completed work in our portfolio and materials, unless we agree in writing not to. Third-party trade marks and logos shown on this Website, including those of clients whose websites appear in our portfolio, remain the property of their respective owners and are shown to identify the work.

Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other in connection with an engagement, and to use it only for the purposes of that engagement. This obligation does not apply to information that is or becomes public through no breach, was already lawfully known, or must be disclosed by law.

Limitation of liability

To the fullest extent permitted by law:

the Website and its content are provided "as is", without warranties of any kind;
we are not liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, data, goodwill or anticipated savings;
our total aggregate liability arising out of or in connection with an engagement is limited to the fees paid by you to us for that engagement in the three months preceding the event giving rise to the claim.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence.

Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from content, materials, data or claims you supply or instruct us to publish, where these infringe a third party's rights or breach applicable law or platform policy.

Termination

Either party may end an engagement in accordance with the notice period stated in the written proposal. On termination you remain liable for fees for work performed and for commitments made on your behalf up to the termination date. We will hand over completed deliverables for which payment has been received, and transfer access to accounts held in your name.

Privacy and cookies

Our handling of personal information is described in our Privacy Policy, and our use of cookies in our Cookie Policy. Both form part of these terms.

Changes to these terms

We may update these terms from time to time. The revision date at the top of this page shows when they were last changed. Continued use of the Website after a change means you accept the updated terms. Changes do not affect an engagement already agreed in writing.

Governing law and jurisdiction

These terms are governed by the laws of India. The courts at Mumbai, Maharashtra shall have exclusive jurisdiction over any dispute arising out of or in connection with them, subject to any mandatory rights you may have under applicable consumer law.
